TERMS OF USE

Important: SAM is experimental, unaudited software running on mainnet as a public test. You may lose some or all of the assets you deposit. Only use funds you can afford to lose entirely.

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the SAM interface (the "Interface") and the SAM smart contracts deployed on the Sui network (the "Protocol", and together with the Interface, the "Service"). By accessing or using the Service, connecting a wallet, or signing any transaction that interacts with the Protocol, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You may use the Service only if you are at least the age of majority in your jurisdiction and legally permitted to use decentralized financial services where you reside. You may not use the Service if you are a resident of, located in, or accessing it from a jurisdiction where doing so would be illegal, or if you are subject to sanctions administered by any government or listed on any sanctions or denied-party list.

You are solely responsible for ensuring that your use of the Service complies with all laws, rules, and regulations that apply to you.

3. The Service

SAM is a non-custodial liquidity engine. It allocates deposited assets across third-party lending and liquidity protocols and issues yield-bearing smart-asset tokens (such as samSUI and samUSDC) representing your deposit and your pro rata share of earned yield.

The Protocol is non-custodial: deposits, withdrawals, harvests, and rebalances are executed entirely on-chain by smart contracts. We never take possession or control of your assets, and we cannot move, freeze, or recover them on your behalf. You interact with the Protocol directly from your own wallet.

The Interface is a convenience front-end that helps you construct transactions. The Protocol can be accessed independently of the Interface, and the Interface may be unavailable, incomplete, or out of date at any time.

4. Experimental and Unaudited Software

THE PROTOCOL IS EARLY-STAGE, EXPERIMENTAL SOFTWARE AND HAS NOT UNDERGONE A FORMAL THIRD-PARTY SECURITY AUDIT. It is provided as a public test on a live mainnet. Smart-contract code may contain errors, bugs, or vulnerabilities that could result in the partial or total, permanent and irreversible loss of any assets you deposit.

You should not deposit any funds you are not fully prepared to lose. Do not use the Service with assets you cannot afford to lose entirely.

5. Assumption of Risk

By using the Service you knowingly and voluntarily assume all risks arising from it, including but not limited to: (a) smart-contract risk - bugs, exploits, economic attacks, or upgrades that cause loss; (b) third-party protocol risk - failure, insolvency, exploit, or misbehavior of the integrated protocols; (c) oracle risk - incorrect, delayed, or manipulated price feeds; (d) liquid-staking and de-peg risk - a staked or wrapped asset trading below its reference asset; (e) liquidity and market risk - slippage, volatility, and the value of tokens falling; (f) key-management risk - loss or compromise of your wallet, seed phrase, or private keys; (g) network risk - congestion, reorganizations, downtime, or changes to the Sui network; and (h) regulatory risk - changes in law affecting your ability to use the Service.

Displayed yields, APYs, and projections are estimates based on current or historical on-chain and third-party data. They are not guarantees and may change at any time. Past performance does not indicate future results.

6. No Custody; Your Responsibility

You are solely responsible for the security of your wallet, devices, credentials, and private keys, and for every transaction you sign. Transactions on the Sui network are generally irreversible. We cannot reverse, cancel, or refund a transaction, and we have no ability to recover assets lost through user error, phishing, malware, or a compromised wallet.

7. Third-Party Protocols and Services

The Protocol routes assets through independent third-party protocols, which currently include Scallop, Suilend, NAVI, Cetus, and SpringSUI, among others. These protocols are not operated or controlled by us, and your assets are exposed to their risks while deployed. Your use of any third-party protocol is subject to that protocol’s own terms and risks, and we make no representations about them.

8. Fees

The Protocol may charge fees, which are enforced on-chain by the smart contracts. As of these Terms, deposit and withdrawal fees are 0%, and a performance fee of up to 10% is taken from harvested yield (not from your principal). Fee parameters are visible on-chain and may be changed by protocol governance going forward. Network (gas) fees charged by the Sui network are separate and always your responsibility.

9. No Financial, Legal, or Tax Advice

Nothing provided through the Service constitutes financial, investment, legal, accounting, or tax advice, or a recommendation to enter into any transaction. We are not your broker, intermediary, agent, or advisor and owe you no fiduciary duty. You should consult your own professional advisors before making any decision.

10. Taxes

You are solely responsible for determining and paying any taxes that apply to your use of the Service, including any taxes arising from deposits, withdrawals, yield, swaps, or rewards. We do not collect, withhold, or report taxes on your behalf.

11. Compliance and Prohibited Conduct

You agree not to use the Service: to violate any law or regulation; to launder money or finance illicit activity; to evade sanctions; to engage in market manipulation; to exploit, attack, or interfere with the Protocol, the Interface, or other users; or to circumvent any restriction in these Terms. We may restrict or decline to provide access through the Interface to any person or jurisdiction at our discretion.

12. Protocol Changes, Pauses, and Availability

The Protocol may be upgraded, paused, parameterized, or have versions deprecated through its admin and governance mechanisms, including emergency pauses that temporarily halt deposits, withdrawals, or rebalances. The Interface may be modified, suspended, or discontinued at any time without notice. We do not guarantee continuous, uninterrupted, or error-free availability of the Service.

13. Intellectual Property and License

The SAM source code is made available under the SAM Source-Available License; your rights in the code are governed solely by that license and not by these Terms. These Terms grant you no rights in our trademarks, names, or branding. Subject to these Terms, you are granted a limited, revocable, non-exclusive, non-transferable license to use the Interface for its intended purpose.

14. No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE SECURE, ACCURATE, UNINTERRUPTED, OR FREE OF BUGS, VULNERABILITIES, OR HARMFUL COMPONENTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SAM, ITS CONTRIBUTORS, OR ANY OF THEIR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF FUNDS, PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME OF THESE LIMITATIONS MAY NOT APPLY WHERE PROHIBITED BY LAW.

16. Indemnification

You agree to indemnify and hold harmless SAM, its contributors, and their affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party.

17. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date below reflects the latest version. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of it. These Terms, together with the applicable source-available license, constitute the entire agreement between you and us regarding the Service.
